Terms of Use

Effective Date: June 29, 2026 Service: Mitkadem (מתקדם) — the "Service" — an autonomous AI-driven marketing platform for business owners in Israel, delivered through the AI-Esthetic and yofai products. Operator: Yekutiel Katanov, an osek patur (VAT-exempt sole proprietor under Israeli law), Israeli ID 346508864, registered at Agam Zoar 80, Ashkelon 7888443, Israel ("we", "us", "our", the "Operator"). These Terms of Use ("Terms") govern access to and use of the Service, including the payment page at pay.mitkadem.com. By using the Service and confirming your consent on the payment page, you confirm that you have read, understood, and agreed to be bound by these Terms, the Privacy Policy, the Refund & Cancellation Policy, and the Subscription & Payment Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" — the Mitkadem platform, including its web applications, automated content-generation pipelines, lead-response bot, advertising-campaign management, analytics, and the payment page.
  • "User", "you" — the natural person or business that registers for and uses the Service.
  • "Connected Channels" — third-party platforms that you connect through OAuth or an equivalent grant (Facebook, Instagram, WhatsApp Business, calendars, Telegram, and others).
  • "Autonomous Output" — any content, message, advertisement, or response that the Service generates, sends, or publishes automatically on your behalf.

2. Eligibility and account

2.1. The Service is intended for adults (18+) operating a business in Israel. By using the Service you represent that you meet this requirement and that you have full legal capacity to enter into these Terms.

2.2. You agree to provide accurate, current information and to keep your account details up to date. You are responsible for the confidentiality of your login credentials and for all activity under your account, and you must notify the Operator without delay of any unauthorized access.

3. What the Service does

3.1. Autonomous content generation and publishing for social media on your behalf, on a recurring schedule.

3.2. Automated client conversations (lead-bot) — composing and sending automatic replies on your behalf in your Connected Channels.

3.3. Advertising campaign management on Meta from your connected Meta account. The advertising budget is paid by you directly to Meta and is not part of the Subscription (see the Refund & Cancellation Policy and the Payment Terms).

3.4. Strategic intelligence, analytics, and an in-product AI assistant.

4. Autonomous nature of the Service — allocation of responsibility

4.1. The Service is autonomous. Autonomous Output is generated by AI models acting on your behalf, without manual review by the Operator before each publication or send. This is the core of the Service.

4.2. AI output may contain errors — inaccuracies, inappropriate phrasing, or mistakes in prices or availability. This is an inherent characteristic of AI-based systems.

4.3. You are the publisher. Any Autonomous Output published through your Connected Channels is published under your business identity and constitutes your business communication. You are responsible for its content and for its legal, contractual, and professional consequences, as well as for its compliance with the law and with platform policies.

4.4. Control remains with you. At any time you may pause generation, review and edit content, disconnect a Connected Channel, or close your account.

5. Your content and the license to use it

5.1. You own the content you provide. You grant the Operator a non-exclusive, royalty-free license to use, store, process, and display your content solely to provide the Service to you. The license terminates when the content is deleted or the account is closed, subject to the retention rules in the Privacy Policy.

5.2. You represent that you hold all rights necessary to your content and that it does not infringe the rights of any third party, the law, or contractual obligations.

6. Intellectual property

The Service — including its software, designs, prompt-orchestration logic, and the Mitkadem, AI-Esthetic, and yofai brands — is and remains the property of the Operator (or its licensors). Other than the limited license to use the Service, no rights are transferred to you.

7. Acceptable use

You agree not to use the Service for any unlawful purpose, not to impersonate any person, not to distribute infringing, abusive, or misleading content, not to compromise the integrity or security of the Service, and not to reverse-engineer it (except where mandatory law permits). The Operator may suspend or terminate the Service for any user who breaches this section.

8. Protection of information

The Operator treats your content as confidential information, does not sell it or transfer it to third parties — other than the technical subprocessors required to operate the Service, where required by law, or at your direction. OAuth tokens are encrypted at rest, and traffic is encrypted over TLS. Details appear in the Privacy Policy.

9. Third-party services

The Service depends on third-party platforms (Meta, Google, AI providers, the PayPlus acquirer, and others). The Operator does not control their availability or their decisions (including account suspension by Meta or rejection of an advertisement) and is not responsible for them. Your relationship with each platform is governed by that platform's own terms.

10. Disclaimer of warranties

10.1. The Service is provided "as is" and "as available". To the maximum extent permitted by Israeli law, the Operator disclaims all express or implied warranties, including the accuracy of Autonomous Output, the achievement of any commercial result, the return on advertising spend, or the success of campaigns.

10.2. No guarantee of results. The Operator does not guarantee that the Service will produce leads, appointments, revenue, or any campaign metric.

10.3. Preservation of statutory rights. These Terms do not limit your non-waivable rights under the Consumer Protection Law or other mandatory Israeli law.

11. Limitation of liability

11.1. To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, special, or consequential damages, including lost profits, loss of business, goodwill, or data.

11.2. The Operator's aggregate liability shall not exceed the amount you paid the Operator for the Subscription in the twelve (12) months preceding the event giving rise to the claim.

11.3. These limitations do not apply to liability that cannot be excluded or limited under Israeli law.

12. Suspension and termination

12.1. You may terminate your account at any time. The financial consequences are governed by the Payment Terms and the Refund & Cancellation Policy.

12.2. The Operator may suspend or terminate the Service in the event of a material breach, a legal or security risk, or where the required channels or subprocessors become unavailable.

13. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel. Disputes are subject to the competent courts of Israel, while preserving the consumer's non-waivable right to bring proceedings before the court at their place of residence.

14. Changes to the Terms

The Operator may update these Terms. The current version is always available at the same URL. If a change materially affects your rights, reasonable advance notice will be given through the dashboard or by email. Continued use after the changes take effect constitutes acceptance.
